Pursiva AI — Terms & Conditions
Version 0.3 · Effective 24 August 2026
These Terms & Conditions (“Terms”) govern access to and use of Pursiva AI, including our websites, applications and related services (“Service”).
Pursiva AI is operated by [FULL UK LEGAL COMPANY NAME], a company registered in the United Kingdom (“Pursiva AI”, “we”, “us” or “our”).
By creating an account, accepting an invitation to an organisation, subscribing to or using Pursiva AI, you agree to these Terms.
If you use Pursiva AI on behalf of an organisation, you confirm that you are authorised to use the Service on that organisation's behalf.
1. The Service
Pursiva AI provides software and AI-assisted tools designed to support tender, bid and procurement-response activities.
The Service may include functionality for reviewing procurement opportunities, processing tender documents and requirements, preparing and reviewing responses, managing organisational knowledge, assessing completeness and compliance, translation, and supporting bid and submission-readiness activities.
We may introduce, modify, improve or discontinue features as the Service develops.
2. Accounts and Authorised Use
You must provide accurate information when creating or using an account and must keep your login credentials secure.
You are responsible for activity carried out through your account and must promptly notify us if you become aware of unauthorised access or use.
Different users may have different roles and permissions within an organisation. Users must act within the permissions granted to them.
You must not allow unauthorised persons to access your account or organisation workspace.
3. Customer Content
You and your organisation retain ownership of documents, information, tender materials, responses, company knowledge, supporting evidence and other content submitted to Pursiva AI (“Customer Content”).
You grant us the limited rights necessary to host, store, process, analyse and otherwise use Customer Content as required to provide, secure, maintain and support the Service.
You are responsible for ensuring that you have the necessary rights and authority to upload, process and use Customer Content through Pursiva AI.
We do not acquire ownership of Customer Content merely because it is uploaded to or processed through Pursiva AI.
4. AI-Assisted Functions
Pursiva AI uses artificial intelligence to assist with functions that may include document analysis, requirement extraction, qualification support, drafting, response improvement, translation, assessment, compliance analysis and other activities.
AI-generated or AI-assisted outputs may contain errors, omissions, inaccuracies or inappropriate conclusions and must be appropriately reviewed before being relied upon or submitted.
Pursiva AI does not guarantee that any AI-generated or AI-assisted output is accurate, complete, compliant, successful, suitable for submission or likely to result in the award of a contract.
Decisions including whether to pursue an opportunity, approve or submit a response, accept an assessment or rely upon information generated through the Service remain the responsibility of the customer and its authorised users.
5. Subscriptions, Trials and Usage Limits
Access to Pursiva AI may be provided through a free trial, paid subscription or another agreed commercial arrangement.
Plans may contain limits relating to bids, users, storage, file sizes, AI usage, exports, functionality or other entitlements.
Applicable prices, billing periods, features and limits will be presented when you subscribe to or manage a plan.
Free trials and promotional offers may be subject to additional limits or expiry dates displayed when the offer is made.
Paid subscriptions renew according to the applicable billing arrangement unless cancelled in accordance with the cancellation process made available through the Service.
We may restrict further use of functionality when applicable subscription or usage limits have been reached.
6. Fees and Payments
Where fees apply, you agree to pay the amounts displayed or otherwise agreed when purchasing the relevant subscription.
Payments may be processed by an authorised third-party payment provider.
We may use hosted or tokenised payment services and do not intend to store complete payment-card numbers or card security codes within Pursiva AI.
Applicable taxes may be added where required.
Failure of payment may result in restriction or suspension of paid functionality.
7. Acceptable Use
You must not use Pursiva AI to:
violate applicable law or the rights of another person or organisation;
upload or distribute malicious software or intentionally harmful content;
gain or attempt to gain unauthorised access to another customer's information, account or workspace;
bypass or attempt to bypass subscription, usage, authentication or security controls;
interfere with or intentionally disrupt the operation or security of the Service;
use the Service for fraudulent, unlawful or abusive purposes;
systematically extract, scrape or copy the Service or its proprietary content or technology; or
reverse engineer, decompile or attempt to discover Pursiva AI's proprietary software, AI workflows or protected technology except to the extent such restriction is prohibited by applicable law.
We may restrict or suspend access where reasonably necessary to protect Pursiva AI, our customers, other users or third parties, or to comply with legal obligations.
8. Intellectual Property
Pursiva AI and its underlying software, technology, interfaces, workflows, branding, designs and other intellectual property belong to us or our licensors.
These Terms give you the right to use the Service in accordance with your applicable subscription and do not transfer ownership of Pursiva AI intellectual property to you.
Customer Content remains subject to Section 3.
9. Third-Party Services and Infrastructure
Pursiva AI relies on third-party providers for certain parts of the Service. These may include cloud hosting, databases, authentication, storage, artificial intelligence processing, file scanning, payment processing, communications, security and other technology infrastructure.
Although we select and manage service providers with reasonable care, some parts of Pursiva AI depend upon services and infrastructure outside our direct control.
We do not guarantee the continuous availability, security or performance of any third-party service.
To the fullest extent permitted by law, we will not be responsible for interruptions, delays, failures, data unavailability or loss of functionality caused by the failure, unavailability, acts or omissions of a third-party provider where the circumstances are outside our reasonable control.
We may replace, change or reconfigure third-party providers where reasonably necessary to maintain, secure, improve or operate the Service.
Nothing in this section excludes or limits responsibility that cannot lawfully be excluded or limited.
10. Availability and Maintenance
We aim to provide a reliable and secure Service but do not guarantee that Pursiva AI will always be available, uninterrupted, error-free or free from delays.
Access may be affected by scheduled or emergency maintenance, internet or telecommunications failures, power failures, cyber or security incidents, failures of hosting or technology providers, changes to third-party services, governmental or regulatory action, or other circumstances outside our reasonable control.
We will take commercially reasonable steps to restore affected services where the circumstances are within our ability to address.
We may temporarily suspend access where reasonably necessary for maintenance, security, legal or operational reasons.
11. Events Outside Our Reasonable Control
We will not be responsible for delay or failure to perform our obligations where caused by circumstances outside our reasonable control.
Such circumstances may include failures of internet, telecommunications, cloud or technology providers; power failures; cyberattacks or security incidents not caused by our failure to take reasonable precautions; governmental or regulatory actions; natural disasters; war; civil disturbance; labour disruption; or similar events.
We will take reasonable steps to minimise the impact and resume affected services where practicable.
12. Suspension, Cancellation and Termination
You may stop using Pursiva AI at any time and, where applicable, cancel your subscription through the available account or billing process.
We may restrict, suspend or terminate access where there is:
a material breach of these Terms;
non-payment;
unlawful or abusive use;
a material security risk;
an attempt to compromise another customer's information or the Service; or
a legal or regulatory requirement to do so.
Cancellation or expiry does not necessarily result in immediate deletion of Customer Content.
Applicable retention arrangements will be communicated through the Service and are further described in our Privacy Policy.
13. Privacy and Data Protection
Our handling of personal information is described separately in the Pursiva AI Privacy Policy.
Where additional data-processing terms are required for a particular customer relationship, they may be provided separately.
14. No Professional Advice and Customer Responsibility
Pursiva AI is a decision-support and productivity platform.
It does not provide legal, financial, tax, procurement or other regulated professional advice.
Customers remain responsible for reviewing their tender requirements, responses, calculations, evidence, compliance positions, translations and final submissions and for obtaining professional advice where appropriate.
The customer is responsible for meeting tender and procurement deadlines and for ensuring that any final submission is made correctly, completely and on time.
Use of Pursiva AI does not transfer responsibility for a tender, bid, procurement decision or submission to Pursiva AI.
15. Disclaimers and Limitation of Liability
Pursiva AI is provided on an “as available” basis.
To the fullest extent permitted by law, we exclude all warranties, representations, conditions and other terms, whether express or implied, that are not expressly set out in these Terms.
We do not warrant or guarantee that the Service or any AI-generated or AI-assisted output will be uninterrupted, error-free, completely secure, accurate, complete, compliant with any particular procurement requirement, suitable for any particular purpose, or result in the award or successful submission of any tender, bid or contract.
To the fullest extent permitted by law, we will not be liable for any:
loss of profits;
loss of revenue;
loss of business;
loss of contracts;
loss of anticipated savings;
loss of business or procurement opportunity;
loss of goodwill or reputation;
loss or corruption of data; or
indirect, incidental, special or consequential loss or damage,
arising from or connected with the use of, or inability to use, Pursiva AI.
This exclusion includes, to the fullest extent permitted by law, losses arising from reliance on AI-generated or AI-assisted content; tender, bid or procurement decisions; unsuccessful, rejected, incomplete or non-compliant submissions; missed deadlines; service interruptions; or the failure, interruption or unavailability of third-party infrastructure or service providers where outside our reasonable control.
Subject to liabilities that cannot lawfully be excluded or limited, our total aggregate liability arising out of or in connection with Pursiva AI, these Terms or the Service, whether in contract, tort (including negligence), breach of statutory duty or otherwise, will not exceed the total fees actually paid by the relevant customer to Pursiva AI during the three months immediately preceding the event giving rise to the claim.
For a free trial or other use of the Service for which the relevant customer has paid no fees, our total aggregate liability, to the fullest extent permitted by law, will not exceed GBP £100.
The limitations in this section apply to the aggregate of all claims arising from or relating to the relevant circumstances and are not separate limits for each individual claim.
Nothing in these Terms excludes or limits liability for:
death or personal injury caused by negligence;
fraud or fraudulent misrepresentation; or
any other liability that cannot lawfully be excluded or limited.
16. Changes to the Service or These Terms
We may update the Service and these Terms where reasonably necessary, including because of changes to functionality, security, law, regulation, technology, service providers or our commercial arrangements.
Where a change to these Terms is material, we will provide reasonable notice through the Service, email or another appropriate communication method.
Where required, we may ask users to accept updated Terms before continuing to use the Service.
17. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales, unless applicable mandatory law requires otherwise.
The courts of England and Wales will have jurisdiction over disputes arising from or connected with these Terms, subject to any rights or protections that cannot lawfully be excluded.
18. General
If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
A delay or failure by us to exercise a right under these Terms does not mean that we waive that right.
You may not transfer your rights or obligations under these Terms without our prior written consent. We may transfer our rights or obligations as part of a corporate reorganisation, merger, acquisition, sale of business or assets, or similar transaction, or where reasonably necessary for the operation of the Service.
These Terms, together with any applicable subscription or commercial terms expressly incorporated into them, constitute the agreement governing your use of Pursiva AI.
